We built Pain in the Assistant LLC on the belief that great working relationships are built on clarity — not sneaky legal jargon in the fine print. These terms exist not to protect us from you, but to make sure we're on the same page from the start: what you can expect from us, what we ask in return, and how we handle the situations that sometimes come up in any professional relationship.
We've written these in plain language on purpose. Our values show up in how we work and in how we document that work. By accessing our website or engaging our services, you agree to these terms. If anything here is unclear, we'd rather you ask than wonder.
Please note: these terms are a general legal framework. For client-specific obligations, your signed Professional Services Agreement and Statement of Work take precedence.
This website is owned and operated by Pain in the Assistant LLC, a limited liability company incorporated in the state of New York ("PITA," "we," "us," or "our"). These Terms set forth the conditions under which you may use our website and the services we offer.
Our website provides information about our administrative support, digital organization coaching and consulting, and speaking and facilitation services, and may allow visitors to submit inquiries, schedule consultations, and access resources we publish. By accessing or using this website, you confirm that you have read, understood, and agree to be bound by these Terms.
To use our website or engage our services, you must be at least 18 years of age and have the legal authority to enter into a binding agreement. PITA offers professional services including administrative support, digital organization coaching and consulting, and speaking and facilitation services. The specific scope, deliverables, fees, and timelines for any engagement are defined in a Statement of Work (SOW) executed between
you and PITA.
Fees displayed on this website, if any, are provided for general reference and are subject to change. Final pricing is confirmed in writing prior to the start of any engagement. Invoices are issued per the payment schedule in your SOW and are due per the terms therein. We reserve the right to pause or discontinue services on accounts with outstanding balances.
All fees are quoted in U.S. dollars. Applicable taxes are the responsibility of the client unless otherwise noted in the SOW.
Because PITA provides professional services — not physical products — our refund policy is service-specific and outlined in your Professional Services Agreement. In general, fees paid for work already performed or time already allocated are non-refundable.
If you wish to cancel an engagement, please refer to the cancellation and wind-down terms in your signed agreement. We are committed to handling transitions professionally and will work with you to ensure a clean handoff of any deliverables or materials.
If you believe a billing error has occurred, please contact us within 14 days of the invoice date. We will review the matter promptly and in good faith.
We may, at our discretion and without prior notice, modify, discontinue, or limit access to any part of our website or services. This includes changes to features, pricing structures, service packages, or content available on the site.
We will make reasonable efforts to communicate material changes to active clients in advance. However, we are not liable for any disruption arising from changes to services that are not covered under an active, signed agreement.
We are committed to delivering services with professional care, skill, and attention. We stand behind our work, and if a deliverable materially fails to meet the agreed-upon scope, we will make reasonable efforts to correct it at no additional cost.
That said, our website and its content are provided "as is" without warranties of any kind, express or implied. We do not guarantee that the website will be error-free, uninterrupted, or free of security vulnerabilities. General information published on this site is for informational purposes only and does not constitute professional advice.

You may request cancellation of your account or cessation of any non-contractual services at any time by contacting us directly. Active service engagements are governed by the termination provisions in your signed agreement.
You agree to indemnify, defend, and hold harmless Pain in the Assistant LLC, its members, employees, contractors, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of this website, your breach of these Terms, or any misrepresentation you make in connection with our services.
This indemnification obligation survives termination of any service engagement or your cessation of use of this website.
To the maximum extent permitted by applicable law, Pain in the Assistant LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of or inability to use this website or our services, including but not limited to lost profits, lost data, or business interruption.
Our total liability to you for any claim arising from these Terms or our services shall not exceed the amount you paid to us in the 30 days preceding the event giving rise to the claim, or $100, whichever is greater. Some jurisdictions do not permit certain liability limitations — in such cases, limitations apply to the fullest extent permitted by law.
